Section 1 – Introduction

These Terms and Conditions apply to the use of SaaS Account.

Safety as a Standard will deliver membership services (the “Services”) to you as a member of SaaS (“Affiliate Member ASaaS”, “Member MSaaS”, “Corporate Member CoSaaS”, “Chartered Member CSaaS, or “You”).

SaaS does not provide Taxi Services itself but instead provides a medium through which licensed Drivers, PHV Operators or those who are working within the transportation industry can contribute to their continuous professional development responsibly and sustainably.

By accepting these Terms and Conditions, You acknowledge that SaaS is a membership provider providing specific membership services to its customers.

SaaS’s Services are to be used by individuals over 18 years of age.

SaaS reserves the right to amend and review these Terms and Conditions as they see fit.

These terms and conditions are governed by English law. You hereby irrevocably submit to the exclusive jurisdiction of the English courts notwithstanding the jurisdiction where you are based.

If any court or competent authority decides that any of the provisions of these terms are invalid, unlawful or unenforceable to any extent, the term will, to that extent only, be severed from the remaining terms, which will continue to be valid to the fullest extent permitted by the law.

Section 2 – Definitions

“We”, “Us” ,“Our” and “Eye Safe”: Eye Safe Ltd, a company incorporated and registered in England and Wales with company number 10410930 and with its registered main office being at Finchley Mews, Finchley Road, Grays Essex, RM17 6RG. Eye Safe Ltd will be trading as SaaS/ Safety as a Standard when providing Safety as A Standard (SaaS) membership programme.

“You” and “Your”: A customer who subscribes to our membership services to access and utilise the SaaS Platform.

SaaS Account: An account that has been opened with SaaS by a group leader in case of Corporate Members or by you in case of Affiliate Membership and/ or Member and is allowing you to use our Services.

Driver: Any private hire driver who is registered with a PHV Operator or Hackney Carriage Driver.

PHV Operator: Any licensed private operator, through whom a Driver provides their services.

Services: The provision of our membership programmes as Affiliate Member (ASaaS), Member M(SaaS), Chartered Member (CSaaS) and/ or Corporate Member (CoSaaS).

User: Any individual or any business / organisation who creates an account and uses the Services via the SaaS Platform.

Section 3 – Use of Services

Membership of the SaaS will provide you with one of four levels of individual membership.

Membership packages may vary according to the level of individual membership.

We reserve the right to change the benefits that apply to SaaS memberships at any time without prior notice.

Any external providers of a benefit included within your membership package will have absolute discretion in relation to the provision of services, and membership of the SaaS does not guarantee that the external provider will accept an application from a SaaS member for the provision of services.

Services supplied by an external provider will be subject to the provider’s own terms and conditions, and we do not accept any liability for loss or damage suffered because of a fault, error, or omission in the provision of these services.

We reserve the right to change our external providers without prior notice and our decision on services provided is final.

The SaaS Platform is protected by copyright and always remains the property of SaaS.

SaaS reserve the right to undertake legal action if a User is found to have infringed the copyright protections which are granted to the software by the Copyright, Designs and Patents of Act 1988 and the Intellectual Property Act of 2014.

SaaS reserve the right to revoke Your access to the SaaS Platform, including all benefits at its absolute discretion. This may include where You have breached these Terms and Conditions or where SaaS takes the view that Your conduct is unacceptable.

Affiliate Member (ASaaS)

This route is for all drivers wishing to be backed up by our professional standards.

As a ASaaS you will get the following benefits:

  1. Access to our e-learning platform to study the courses designed for affiliate members. Once a course is completed you will get an automated e-certificate. Once all the courses associated to your level of membership are completed you will get a certificate to provide your membership status with us.
  2. Access to CPD programmes.
  3. Access to our membership area.
  4. The right to use appropriate post-nominal letters ASaaS denoting your level of membership once you have completed the ASaaS programme. You should not use the post-nominal letters ASaaS before getting your membership certificate.
  5. Access to our webinars and events.
  6. The ability to exchange knowledge and professional experiences with the SaaS community.

Member (MSaaS)

This route is for professionals who are in the managing, supervision and operational roles.

As a MSaaS you will get the following benefits:

  1. Access to our e-learning platform to study the courses designed for members. Once a course is completed you will get an automated e-certificate. Once all the courses associated to your level of membership are completed you will get a certificate to provide your membership status with us.
  2. Access to CPD programmes.
  3. Access to our membership area.
  4. The right to use appropriate post-nominal letters ASaaS denoting your level of membership once you have completed the MSaaS programme. You should not use the post-nominal letters MSaaS before getting your membership certificate.
  5. Access to our webinars and events.
  6. Access to risk assessments for the drivers you are managing and/ or supervising or for your day-to-day activities.
  7. The ability to exchange knowledge and professional experiences with the SaaS community.

Chartered Members (CSaaS)

This route is for those fellows who are wishing to have a direct impact on our standard and development processes.

As a CSaaS you will get the following benefits:

  1. The opportunity to develop programmes for ASaaS and MSaaS membership routes.
  2. The opportunity to participate on the development and reviewing processes of our professional standards.
  3. Access to CPD programmes.
  4. Access to our membership area.
  5. The right to use appropriate post-nominal letters CSaaS denoting your level of membership.
  6. Access to our webinars and events.
  7. Access to resources and research opportunities.
  8. The ability to exchange knowledge and professional experiences with the SaaS community.

Corporate Members (CoSaaS)

This route is for organisations you wish to become SaaS compliant and get their employees/ subcontractors enrolled into our membership programmes.

As a CoSaaS you will get the following benefits:

  1. You can enol your employees and subcontractors to ASaaS and MSaaS membership routes automatically on our Platform.
  2. The opportunity to participate on the development and reviewing processes of our professional standards.
  3. Access to CPD programmes, Risk Assessments and documentations.
  4. The opportunity to request a full internal audit for your company.
  5. The opportunity to request us to overview, audit your complaints policy, thus you can ensure a transparent and customer orientated services.
  6. Access to our membership area.
  7. The right for your employees to use appropriate post-nominal letters ASaaS/ MSaaS denoting their level of membership.
  8. Access to our webinars and events.
  9. Access to resources and research opportunities.
  10. The ability to exchange knowledge and professional experiences with the SaaS community.
Your membership is formed of mandatory and optional courses.
Mandatory courses 
Your allocated ASaaS will have access to the following courses:
  • Level 2 Code of Conduct for the Professional Taxi and Private Hire Drivers
  • Sexual Harassment
  • Adult Basic Life Support with Automated External Defibrillation (BLS-AED)
  • CPD Level 2 Health and Safety in the Workplace
Your allocated MSaaS will have access to the following courses:
  • Level 2 Code of Conduct for the Professional Taxi and Private Hire Drivers
  • Adult Basic Life Support with Automated External Defibrillation (BLS-AED)
  • Anti Money Laundering
  • Data Protection and GDPR
  • Level 3 Award in Health and Safety in the Workplace (RQF)
Optional courses
We have a range of optional courses that can be attached to your membership.
You must check our list of optional courses below and select them according to the membership level (Bronze, Silver or Gold) as advertised on our membership page.
If you wish to add more courses you must contact us for a personalised offer.
Once chosen, the optional courses will be part of ASaaS and MSaaS membership and must be completed together with the optional courses in order for the Certificate of Membership to be generated.

Section 4 – The Individual Membership Contract

To become a SaaS individual member please follow the instructions on our website https://saas-org.co.uk. The registration can be done automatically for ASaaS and MSaaS routes. If you need help getting register, please do not hesitate to contact us.

Corporate Members will need to fill out a request form which can be found on our website. We will contact each applicant to discuss SaaS membership level and according to the business needs. Corporate memberships prices may vary from a company to another, and we reserve the right to not justify our prices for corporate clients.

Once registered You have 14 days cooling off period from the moment You have purchased a membership route. However, we reserve the right not to refund you if you access any of our e-learning courses, materials, or content.

SaaS ​individual members (including ASaas, MSaaS, CSaaS and CoSaaS) also agree to abide by the SaaS Code of Conduct (the “Code”) and Professional Standards. All SaaS Users sign up to this Code on joining and reaffirm their commitment on an annual basis. Failure to adhere to the Code, resulting in a formal complaint made against you, may result in disciplinary procedures and/or the termination of your membership.

We reserve the right not to fulfil, or to cancel, your application if we are unable to obtain payment authorisation from the issuer of your credit/debit card or payment by other means.

If you have been convicted of a criminal offence which is not yet spent, or have a prosecution pending, this must be declared. A declaration must also be made of insolvency or undischarged bankruptcy. This information will be treated in the strictest confidence and will only be taken into account if relevant. Spent convictions under the Rehabilitation of Offenders Act 1974 need not be disclosed.

If your individual membership application is accepted, but we subsequently discover that any or all of the information provided by you was misleading or false, we reserve the right to revoke your membership with immediate effect, without the right of appeal.

Membership levels and upgrades are granted by our assessment team. We reserve the right to downgrade an application if following purchase of membership, it transpires the evidence we have received does not meet the assessment criteria. You have the right of appeal against the membership level offer if you believe it to be unjust as not reflecting the level of your professional taxi/ transportation industry experience. A review will be conducted with the decision of the assessment team then being final.

As a ASaaS, MSaaS, CSaaS and/ or CoSaaS member you warrant and represent to us and each other SaaS member that the following are and will be true each time that you access or use the Platform or Services:

  • you have all requisite power and authority to enter and perform your obligations under these terms and conditions.
  • there are no circumstances of which you should reasonably be aware which would prevent these terms and conditions from being and forming legally binding obligations upon you.
  • your performance pursuant to these terms and conditions does not and will not conflict with or breach any constitutional document, agreement, or Applicable Laws to which you are subject or by which you are bound.
  • all the information which you submit to the Platform is complete, reliable, accurate, free from errors, and not misleading in any way, and will not infringe any third-party rights.
  • you will not do, or omit to do, anything that might reasonably be expected to put us in breach of any Applicable Laws.
  • You will provide us promptly on request with all information that we may reasonably require from time to time in connection with your access to or usage of the Platform.

Section 5 – Warranties

You warrant that the information You have provided to SaaS (whether relating to Your own identity, to an employee/ subcontractor or to a business) is true and accurate.

You warrant to pay any financial obligations incurred through use of the SaaS Platform and Services including those relating to the provision of our membership programmes.

You warrant that You will not provide, pass and/or transfer copyright protected details of the SaaS Platform and content to any third parties.

Section 6 – Privacy Policy

You agree to the Terms and Conditions of the Privacy Policy document in addition to these Terms and Conditions.

Section 7 – Limitation of Liability

Nothing in these terms and conditions shall exclude or limit any person’s liability for death or personal injury caused by its negligence, or any person’s liability for fraud.

Subject to the above, neither we nor any of our third parties providers will be liable for any losses incurred or suffered by you, directly or indirectly in connection with:

  • materials provided to or by or on behalf of us being corrupted or inaccurate;
  • you are being unable for whatever reason to access or use the Platform;
  • benefits, goods or services provided by an external provider/third-party;
  • any acts or omissions by you, any other SaaS Users, or your or their personnel; or
  • us, or other SaaS members, acting on materials or communications which purport to have been made by or on behalf of you but which have been created or sent by a third party purporting to act in your name, or a person who has lawful access to the Services but who exceeds his authority, regardless of whether such losses arise in contract, tort, negligence, breach of statutory duty or otherwise.

Further, neither we nor any of our partners/ third parties will be liable for any indirect or consequential losses incurred or suffered by you, whether or not those losses are foreseeable.

The total aggregate liability of us to you for all losses arising out of or in connection with these terms and conditions, the Platform and the Services (whether such losses arise in contract, tort, negligence, breach of statutory duty or otherwise) shall not exceed the amount of any fees received from you in the preceding 12 months.

Except as specified in these terms and conditions, all express or implied conditions, terms, representations, or warranties (whether implied by statute or otherwise) are hereby excluded to the maximum extent permitted by law.

These terms and conditions do not and shall not affect your statutory rights as a consumer.

The Platform may contain links to other websites, which in turn may contain material that has been produced by third parties not affiliated with us.  We have no control over those other websites and accept no responsibility or liability for information or content provided on such websites.

Section 8 – Taxi Services Regulatory Compliance

Drivers and PHV Operators must possess the required licenses and licensing requirements to perform their services under the Private Hire Vehicles Act of 1998, the London Hackney Carriages Act of 1843, the London Cab Order of 1934, the Local Government (Miscellaneous Provisions) Act of 1976 and with other related local government regulations with their respective amendments as appropriate.

Section 9 – Data protection and confidential information

You acknowledge and agree that we may monitor your use of the Platform. In addition to these Terms and Condition you must read, understand and accept our Data Protection and Privacy Policy.

We may record, retain, and use for monitoring, statistical analysis or marketing purposes information on or from your access to and use of the Platform. Please see our Privacy Policy for more information on how and for what purposes we use your personal data.

You shall treat as confidential and shall not (other than were permitted or compelled to do so by any Applicable Law) use or disclose to any person any Confidential Information nor permit its disclosure. For the purposes of these terms and conditions, Confidential Information means all information (in whatever form) which is not publicly known, and which is disclosed to, or otherwise learnt by, you in connection with the site, Services or these terms and conditions.

Section 10 – Force Majeure

In the event of Force Majeure, SaaS shall not be deemed to be in breach of these Terms and Conditions and in particular shall not be liable for a delay or for non-performance of any of its obligations under these Terms and Conditions or for any loss or damage occasioned thereby. To the maximum extent permitted by law, all losses arising for this reason shall not be recoverable by the User.

Section 11 – Intellectual Property Rights

All Intellectual Property which exists in the materials provided to SaaS users as part of the membership route are owned by SaaS and/or its content providers/ third parties.

A SaaS membership does not confer any right to use SaaS Intellectual Property, including the SaaS brand and logo, except where expressly provided in writing.

Our members shall not licence, sell, rent, lease, transfer, assign or otherwise commercially exploit materials, including passwords, provided to the User by us.

Our members shall also not licence, sell, rent, lease, transfer, assign or otherwise commercially exploit or otherwise make the membership services available to any third party.
